Associate General Counsel

A privately-held company founded in 1931, Cashman Equipment Company is one of the highest-rated Caterpillar equipment dealers in North America. As a full service dealer, Cashman provides new and used equipment for sale and rental, as well as high quality parts and service to construction, paving, mining, truck engine and power system industries throughout Nevada and parts of California.
Reporting directly to the General Counsel, the Associate General Counsel will be responsible for providing research, advice and assistance on a variety of legal issues, including corporate, litigation, bankruptcy, collections, property, compliance and employment matters. The ideal candidate would be qualified to appear as lead counsel in a court of law, arbitration or other judicial tribunal and initiate, prosecute or defend litigation on behalf of Cashman. The Associate General Counsel will also serve as a primary point of contact with outside counsel to ensure effective and timely performance.
Requirements
ESSENTIAL FUNCTIONS:
Review, draft and negotiate commercial and transactional agreements.
Advise on potential and existing litigation.
Represent Cashman in litigation and settlement conferences, as necessary.
Ensure compliance with internal and regulatory requirements.
Assist in corporate governance matters and the development of corporate policies on a variety of issues.
Organize and maintain records of all contractual, corporate and insurance materials in accordance with Cashman's document retention policy.
Interact directly with customers, vendors and coworkers on a frequent basis.
Inform the General Counsel of potential issues timely and succinctly.
ADDITIONAL RESPONSIBILITIES:
Provide guidance and training on documentation practices and procedures to employees.
Develop and implement procedures for contract management and administration.
Work with outside counsel on outsourced matters.
Perform periodic risk assessments on regulatory and legal matters.
Assist with investigations on a variety of issues.
Other duties as assigned.
KNOWLEDGE, SKILLS AND ABILITIES:
Excellent organizational skills, with the ability to manage multiple projects simultaneously within deadlines.
Identifies issues and promptly brings them to the attention of the General Counsel.
Self-motivated and detail-oriented with the ability to work under limited supervision.
Excellent judgment and understanding of risk.
Excellent reading and comprehension skills.
Excellent written and verbal communication skills, including presentation, persuasion and negotiation skills required in working with customers and coworkers.
Ability to remain calm and courteous under pressure.
Proficiency in the use of basic computer software programs, particularly Word, EXCEL and Outlook.
Adheres to company policies, procedures and practices.
EDUCATION AND EXPERIENCE:
A Juris Doctor or equivalent from an accredited law school.
Membership in at least one State or D.C. Bar. Candidate must hold a Nevada law license or be eligible for a Nevada in-house license upon hiring.
At least three (3) years of experience in either private practice or corporate setting, preferably with a strong litigation background.
Experience in non-litigation areas such as property, construction or labor law preferred.
Knowledge of CAT parts, components, equipment and services offered by Cashman Equipment and competitors a plus.

Don't Be Fooled

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
